Terms of Service

By submitting your email address through the RECED pre-launch landing page, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, please do not submit your information.

RECED is a pre-launch landing page for the upcoming RECED marketplace — a verified online directory for community businesses. By signing up, you are joining our early access email list to receive updates, launch notifications, and relevant content about the marketplace.

You must be at least 18 years of age to use this service and submit your personal information through our signup form. This service is not directed to children under the age of 13. If you are under 13, you may not use this service or provide any personal information to us.

By providing your email address through our signup form, you consent to receive electronic communications from us in accordance with the Electronic Signatures in Global and National Commerce Act (E-SIGN Act). These communications may include:

• Pre-launch updates and announcements
• Marketplace launch notifications
• Service-related notices (changes to terms, privacy policy updates)

You may withdraw your consent to receive marketing communications at any time by using the unsubscribe link in any email or by contacting us at support@reced.com.

When using our service, you agree to:

• Provide a valid, working email address that you own
• Not submit email addresses belonging to other people without their explicit consent
• Not submit fraudulent or misleading information
• Not use automated tools, bots, or scripts to submit forms
• Not attempt to reverse engineer, decompile, or disassemble any part of our service
• Not impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Not attempt to disrupt or compromise the security of our website
• Not use the service for any purpose that is unlawful or prohibited by these terms

All content, design, branding, and materials on the RECED website are the property of RECED and are protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission.

Your use of our service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using our service, you consent to the data practices described in our Privacy Policy.

Our service may contain links to third-party websites or services (including Brevo, Supabase, and Vercel) that are not owned or controlled by RECED. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services. You access any third-party sites at your own risk.

Please be aware of the following:

• RECED is currently in pre-launch — features, pricing, and timeline are subject to change
• We make no guarantee of a specific launch date for the marketplace
• Early access benefits described on the landing page are subject to availability and may change before launch

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. RECED DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

To the maximum extent permitted by law, RECED shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our pre-launch page or reliance on any information provided. Our total liability shall not exceed the amount you have paid to us, which in the case of this free service is zero.

You agree to indemnify, defend, and hold harmless RECED, its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use of or access to the service
• Your violation of these Terms of Service
• Your violation of any third-party right, including any intellectual property or privacy right
• Any claim that your use of the service caused damage to a third party

Informal Resolution: Before filing any formal legal action, you agree to first contact us at support@reced.com and attempt to resolve the dispute informally for at least 30 days.

Binding Arbitration: If the dispute cannot be resolved informally, you and RECED agree to resolve any claims through binding individual arbitration, rather than in court, except that either party may bring claims in small claims court if eligible. Arbitration shall be conducted under the rules of the American Arbitration Association (AAA).

Class Action Waiver: You and RECED agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If this class action waiver is found to be unenforceable, then the entirety of this arbitration provision shall be null and void.

Opt-Out: You may opt out of this arbitration agreement by sending written notice to support@reced.com within 30 days of first accepting these terms, with the subject line "Arbitration Opt-Out."

We may remove your data from our systems upon your request or if we determine that you have violated these terms. You may request removal at any time by emailing support@reced.com.

We reserve the right to modify these Terms of Service at any time. If we make material changes, we will notify you by email or by posting the updated terms on our website with an updated "Last updated" date. Your continued use of the service after any changes constitutes your acceptance of the revised terms.

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Dallas County, Texas.

If any provision of these Terms of Service is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

The failure of RECED to enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision. Any waiver of any provision of these terms will be effective only if in writing and signed by RECED.

These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and RECED regarding your use of the service, and supersede any prior agreements.

You may not assign or transfer your rights or obligations under these terms without our prior written consent. RECED may assign its rights and obligations under these terms without restriction, including in connection with a merger, acquisition, or sale of assets.
